● AVAILABILITY
Our commitment to deliver is null and void in the event of failure or
non-observance of supply deadlines on the part of our own suppliers, and
insofar as this unavailability is not attributable to QUADRAAT. In case
of unavailability of a product, we will inform you as soon as possible.
● PAYMENT METHODS
Payment method: Paypal.
● DELIVERY AND TRANSPORT
The shipment of available items is done by post within approximately 5 to 8 days.
PLEASE NOTE: QUADRAAT does not deliver its parcels in P.O. Boxes and
does not deliver any merchandise to underage customers or those under
guardianship, except with written authorization from the parents or
guardian.
● RETURN OR EXCHANGE OF MERCHANDISE
Items must be returned intact and complete in their original packaging
(with the labels showing their references), accompanied by the delivery
slip, within 7 days of receiving your package. The shipping costs
related to the return are at your charge. In the case of an exchange
order, the shipping costs of your new order are at your charge. Damage
due to poor maintenance, failure to follow the instructions for use, or
normal wear and tear will not be taken into account.
● LEGAL GUARANTEE
Check the condition of the delivered goods without delay to exclude
obvious material and manufacturing defects, as well as transport damage.
In accordance with the law, you are obliged to notify us of any defects
or anomalies affecting the delivered goods to enable us to remedy them.
● DATA PROTECTION
All personal data will be considered confidential. The information
necessary for the management of the order will be subject to computer
processing and may be communicated to associated companies in the
context of the management of the order.
● APPLICABLE LAW AND JURISDICTION
The applicable law is the Swiss law, and any dispute will be treated by the District Court of La Chaux-de-Fonds.
To purchase our fonts, you must acknowledge that you have read, understood and agreed to be bound by the terms of the EULA corresponding to the type of license you need (End User License Agreement) There are three types of EULAs: Desktop, Webfonts, App & ePub.
For desktop use, whoever installs the fonts on their computer needs to have a license.
Desktop fonts allow you to install the font in your computer’s Fonts folder for use with applications that have a Fonts menu such as TextEdit, MS Word, Photoshop, etc.
Desktop fonts are priced based on the number of computers where the font is installed.
By downloading this font package, you are agreeing to be bound by the terms of this Agreement. This Agreement, in conjunction constitutes the complete agreement between you and the foundry QUADRAAT.
1 – Allowed uses
You may use the licensed fonts to create images on any surface such as computer screens, paper, web pages, photographs, movie credits, printed material, T-shirts, and other surfaces where the image is a fixed size. You may use the licensed fonts to create EPS files or other scalable drawings.
2 – Number of users
The maximum number of simultaneous users is specified in the applicable receipt. All users must belong to the same company or household purchasing the font.
3 – Third parties
You may provide the font to a graphic designer, printer or other service bureau that is working on your behalf only if they agree to use the font exclusively for your work, agree to the terms of this license, and retain no copies of the font on completion of the work. You may not provide the font or make it accessible to any other third parties.
4 – Embedding
You may embed the licensed fonts into any document you send to third parties. Such documents may be viewed and printed (but not edited) by the recipients. You may not under any circumstances embed the licensed fonts into software or hardware products in which the fonts will be used by the purchasers of such products.
5 – Modifications
You may import characters from the font as graphical objects into a drawing program and modify such graphical objects.
You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the licensed font itself without QUADRAAT prior written consent.
6 – Copyright
The font and the accompanying materials are copyrighted and contain proprietary information and trade secrets belonging to the foundry owning the font. Unauthorized copying of the Product even if modified, merged, or in-cluded with other software, or of the written materials, is expressly forbidden. You may be held legally responsible for any infringement of the foundry’s intellectual property rights that is caused or encouraged by your failure to abide by the terms of this Agreement.
7 – Termination
This Agreement is effective until terminated. This Agreement will terminate automatically without notice from QUADRAAT if you fail to comply with any provision contained herein. Upon termination, you must destroy the written materials, the Product, and all copies of them, in part and in whole, including modified copies, if any.
8 – Disclaimer and Limited Warranty
Except as expressly provided above, the product, is provided “as is”. QUADRAAT makes not any warranty of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose.
QUADRAAT shall not be liable for any direct, indirect, consequential, or incidental damages (including damages from loss of business profits, business interruption, loss of business information, and the like) arising out of the use of or inability to use the product even if QUADRAAT has been advised of the possibility of such damages.
For webfonts, each license allows the fonts to be used on 1 domain owned and controlled by 1 entity. Each entity requires a separate license.
To use QUADRAAT’s typeface you have to disable hotlinking and directory listing. You must disable hotlinking
with .htaccess and/or httpd.conf file.
This Web Font End-User License Agreement for the use of web fonts (the “Agreement ”) is a legal agreement between you and QUADRAAT that governs the use of the Licensed Web Fonts and which are accompanied by or refer to this Agreement.
This Agreement becomes a binding contract between you and QUADRAAT when you click on the area marked “ACCEPT LICENSE AGREEMENT,” or similar language or when you accept the Agreement by other means (for instance referring to the Agreement in a purchase order, a confirmation email, etc.). If you do not wish to be bound by the Agreement, you cannot access, use or download the Licensed Web Fonts. Please read this entire document before agreeing to be bound. Certain capitalized terms are defined in Section 9 of this Agreement.
1 – Binding Agreement
You are bound by the Agreement and you acknowledge that all Use of the Licensed Web Fonts is governed by the Agreement.
2 – License Grant
The Licensed Web Fonts are licensed, not sold, to you for Use only under the terms of this Agreement. QUADRAAT, as the licensor, reserves all rights not expressly granted to you. You are hereby granted a non-exclusive, non-assignable, non-transferable (except as expressly permitted herein) license to Use the Licensed Web Fonts on Web-sites, using the @font-face selector in CSS files, subject to all of the following:
You may not link to, nor put online, any version of a Licensed Web Font not supplied in a Web Font Kit.
The comments, showing copyright and other legal information provided in the sample HTML/CSS/Javascript files, for each Licensed Web Font must be retained in your working Website code.
The Licensed Web Fonts may be used on any Website owned or controlled by you (subject to the next bullet point). The total traffic, measured in page views, of all Websites Using a Licensed Web Font must be no greater than the number of page views specified in your purchase indicated at QUADRAAT.CH. Businesses or organizations such as advertising agencies, web design agencies or hosting providers that are responsible for multiple clients’ Websites must enter into separate Agreement’s for each client Website.
The Licensed Web Fonts may be used in a Website where visitors produce Styled Content by directly or indirectly selecting a Licensed Web Font and entering or editing content using that Licensed Web Font, if and only if the Website does not enable or facilitate the Styled Content being used outside the Website. Examples of using Styled Content outside of a Website include but are not limited to producing merchandise, PDF documents, image files, or personalized physical objects using the Styled Content.
You may not use conversion or editing tools on the Licensed Web Fonts.
Use of the Licensed Web Fonts with technologies other than @font-face, such as sIFR, Cufón or Typeface.js, is not allowed.
3 – Intellectual and Industrial Property Rights
You agree that the Licensed Web Fonts are protected by the copyright law and other intellectual and industrial property rights of Switzerland and by international treaties. You agree to treat the Licensed Web Fonts as you would any other copyrighted material. You may not copy the Licensed Web Fonts, except as expressly provided herein. You agree not to adapt, modify, alter, translate, convert, or otherwise change the Licensed Web Fonts, or to create Derivative Works from the Licensed Web Fonts or any portion thereof. You further agree not to use the Licensed Web Fonts in connection with software and/or hardware which create Derivative Works of the Licensed Web Fonts. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or instructions of the Licensed Web Fonts, provided, however, that if you are located in a European Community member country or any other country which provides rights materially similar to the rights set forth in this provision, you may reverse engineer or decompile the Licensed Web Fonts only to the extent that sufficient information is not available for the purpose of creating an interoperable software program (but only for such purpose and only to the extent that sufficient information is not provided in a timely manner free of charge by QUADRAAT upon written request). You agree that QUADRAAT owns all right, title and interest in and to the Licensed Web Fonts, their structure, organization, code, and related files, including all intellectual and industrial property rights therein such as copyright, design and trademarks rights. You agree that the Licensed Web Fonts, their structure, organization, code, and related files are valuable property of QUADRAAT and that any intentional or negligent Use of the Licensed Web Fonts not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights.
You agree to use trademarks associated with the Licensed Web Fonts according to accepted trademark practice, including identification of the trademark owner’s name. The use of any trademark authorized herein does not give you any rights of ownership in that trademark and all use of any trademark shall inure to the sole benefit of QUADRAAT. You may not change any trademark or trade name designation for the Licensed Web Fonts.
4 – Warranty: Limitation of Liability
QUADRAAT warrants to you that the Licensed Web Fonts will perform substantially in accordance with W3C specifications for the use of fonts in conjunction with the ‘@font-face rule’ specified in the cascading style sheets (“CSS”) specification set forth on the http://www.W3.org website. If the Licensed Web Font(s) do not perform substantially in accordance with W3C specifications for the use of fonts in conjunction with the ‘@font-face rule’ specified in the cascading style sheets (“CSS”) specification set forth on the http://www.W3.org website as of the date you agree to be bound by this Agreement, the entire, exclusive, and cumulative liability and remedy shall be limited to the refund of the license fee you paid to QUADRAAT to obtain delivery of the Licensed Web Font(s).
5 – Transfer of the Licensed Web Fonts
You may not rent, lease, sublicense, give, lend, or further distribute the Licensed Web Font(s), or any copy thereof, except as expressly provided herein. You may transfer all its rights to use the Licensed Web Font(s) to another person or legal entity provided that (i) the transferee accepts and agrees to be bound by all the terms and conditions of this Agreement, and (ii) you destroy all copies of the Licensed Web Font(s), including all copies stored in the memory of a hardware device. If you are a business or organization, you agree that in case of a reasonable doubt with regard to the proper Use of the Licensed Web Font(s) within your organization, upon request from QUADRAAT or its authorized representative, you will, within thirty (30) days, fully document and certify that the Use of any and all Licensed Web Fonts licensed by you from QUADRAAT at the time of the request is in conformity with your valid licenses.
6 – Copies
You may make one back-up copy of the Licensed Web Font(s) for archival purposes only, and you shall retain exclusive custody and control over such copy. Any copies that you are expressly permitted to make pursuant to the Agreement must contain the same copyright, trademark, and other proprietary notices that appear on or in the Licensed Web Font(s). Upon termination of Agreement, you must destroy the original and any and all copies of the Licensed Web Font(s).
7 – Termination
Upon failure by you to comply with the terms of the Agreement, QUADRAAT shall be entitled to terminate the Agreement upon notice by regular mail, paid carrier, telefax or email/textform. The termination of the Agreement shall not preclude QUADRAAT from suing you for damages for any breach of the Agreement. The Agreement may only be modified in writing signed by an authorized officer of QUADRAAT.
8 – Other Terms and Conditions
In the event that any provision of this Agreement is unenforceable or invalid, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole, and, in such event, such unenforceable or invalid provision shall be changed and interpreted so as to best accomplish the objectives of such provision within the limits of applicable law or court decisions.
This Font Software for Mobile Applications and EPub End User License Agreement (the “Agreement”) becomes a binding contract between you and QUADRAAT when you click on the area marked “ACCEPT LICENSE AGREEMENT,” or similar language or when you accept the Agreement by other means (for instance referring to the Agreement in a purchase order, a confirmation email etc.). If you do not wish to be bound by the Agreement, you cannot access, use or download the Font Software. Please read this entire Agreement before agreeing to be bound. The Agreement contains capitalized terms that are defined in section «DEFINITIONS» of the Agreement. Each application and Electronic Publication using this typeface must have a valid license. If you bought a license for 5 App/EPub, you can for example use the typeface in 2 applications and 3 Electronic Publication.
1 – Binding Agreement
You are bound by the Agreement and you acknowledge that all use of the Font Software supplied to you by Foundry for the purposes set forth under this Agreement is governed by this Agreement.
2 – License Grant
You are hereby granted a non-exclusive, non-assignable, non-transferable license (subject to all of the terms and conditions of the Agreement) to (a) embed the Font Software (i) into an iOS, Android or Windows Phone Application, (ii) in a secure manner which does not allow an End User to access the Font Software outside of the Application: and (b) distribute worldwide (subject to the export restrictions set forth in Section 9 of the Terms and Conditions) such Application to End Users. Foundry reserves all rights not expressly granted to you in this Agreement.
You are hereby granted a non-exclusive, non-assignable, non-transferable license (subject to all of the terms and conditions of the Agreement) to (a) embed the Font Software (i) into an Electronic Publication, including an Electronic Publication that is a Commercial Product, (ii) in a secure manner which does not allow an End User to access to the Font Software outside of an Electronic Publication, and (b) distribute worldwide (subject to the export restrictions set forth in section 9 of the Terms and Conditions) such Electronic Publication to End Users. Foundry reserves all rights not expressly granted to you in this Agreement.
3 – Restrictions on Use
The maximum number of distinct Applications and Electronic Publication into which the Font Software may be embedded may not exceed the number you indicated at WWW.QUADRAAT.CH when licensing the Font Software.
You may not embed the Font Software (i) in any Application or EPub that allows the generation of output such as PDFs, word processing documents, spreadsheets, labeled photos, static images, scalable images, advertisements or other documents or data files, or (ii) in any Application that is a server component in a client/server architecture.
The Font Software may only be embedded in an Application or EPub where the Font Software does not represent a substantial component of, and does not represent the primary value or the functionality of the Application or EPub into which it will be embedded.
You agree that you will take no action which will have the direct or indirect effect of causing the Font Software to become Publicly Available Software or otherwise be subject to a Publicly Available Software agreement.
4 – Alterations to the Font Software
You may not alter the Font Software for the purpose of adding any functionality that such Font Software did not have when delivered to you by Foundry. If the Font Software contains embedding bits that indicate that the Font Software is only authorized for certain purposes, you may not change or alter the embedding bits.
5 – Transfer of the Font Software
You may not rent, lease, sublicense, give, lend, or further distribute the Font Software, or any copy thereof. If you are a business or organization, you agree that in case of a reasonable doubt with regard to the proper use of the Font Software within your organization, upon request from Foundry or its authorized representative, you will within thirty (30) days fully document and certify that use of any and all Font Software at the time of the request is in conformity with your valid licenses from Foundry.
6 – Copies
You may not copy the Font Software, except as expressly provided herein. You agree that the Font Software, its structure, organization, code, and related files are valuable property of Foundry or its third party licensors and that any intentional or negligent use of the Font Software not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights.
You agree not to adapt, modify, alter, translate, convert, or otherwise change the Font Software, or to create Derivative Works from the Font Software or any portion thereof. You further agree not to use the Font Software in connection with software and/or hardware which create Derivative Works of such Font Software.
You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or instructions of the Font Software, provided, however, that if you are located in a European Community member country or any other country which provides rights materially similar to the rights set forth in this provision, you may reverse engineer or decompile the Font Software only to the extent that sufficient information is not available for the purpose of creating an interoperable software program (but only for such purpose and only to the extent that sufficient information is not provided in a timely manner free of charge by Foundry upon written request.)
8 – Trademarks
You agree to use trademarks associated with the Font Software according to accepted trademark practice, including identification of the trademark owner’s name. Trademarks can only be used to identify printed output produced by the Font Software. The use of any trademark as herein authorized does not give you any rights of ownership in that trademark and all use of any trademark shall inure to the sole benefit of Foundry. You may not change any trademark or trade name designation for the Font Software. Nothing contained herein shall be deemed as granting you a license to use any trademark or trade names associated with the Font Software
9 – Termination
Upon failure by you to comply with the terms of this Agreement, Foundry shall be entitled to terminate this Agreement upon notice by regular mail, telefax or email. The termination of the Agreement shall not preclude Foundry from suing you for damages of any breach of the Agreement. The Agreement may only be modified in writing signed by an authorized officer of Foundry.
10 – Terms and Conditions
You have separately agreed to QUADRAAT’s standard Terms and Conditions which include provisions relating to governing law and jurisdiction, export restrictions and U.S. government contracts. In the case of a conflict between the Terms and Conditions and this Agreement, this Agreement shall control.
“Application(s)” means a separate and distinct stand-alone Software Product, which may be a Commercial Product, which runs on a platform and is made available by you to End Users or by you to a distributor who then makes such Application available to End Users.
“Commercial Product” means a product in which the Font Software has been embedded and which is offered for distribution to the general public (or to some subset of the general public) for a fee or other consideration or as a result of your business activity.
“Derivative Work” means binary data based upon or derived from Font Software (or any portion of the Font Software) in any form in which such binary data may be recast, transformed, or adapted including, but not limited to, binary data in any format into which Font Software may be converted.
“Distributions” means the number of units downloaded or installs of the Application that embeds the Font Software.
“End User(s)” means the individual or entity which downloads an Application to run on a platform designed to run such Application.
“Font Software” means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Foundry in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.
“Publicly Available Software” means each of: (a) any software that contains, or is derived in any manner (in whole 36.+or in part) from, any software that is distributed as free software, open source software (e.g. Linux) or similar licensing or distribution models: and (b) any software that requires as a condition of use, modification and/or distribution of such software that such software or other software incorporated into, derived from or distributed with such software (i) be disclosed or distributed in source code form, (ii) be licensed for the purpose of making derivative works, or (iii) be redistributable at no charge. Publicly Available Software includes, without limitation, software licensed or distributed under any of the following licenses or distribution models, or licenses or distribution models similar to any of the following: (1) GNU’s General Public License (GPL) or Lesser/Library GPL (LGPL): (2) the Artistic License (e.g., PERL): (3) the Mozilla Public License: (4) the Netscape Public License: (5) the Sun Community Source License (SCSL): (6) the Sun Industry Standard Source License (SISL): and (7) the Apache Software license.
“Software Product” means a product that is distributed as software only and is not (i) embedded into hardware of any kind, or (ii) a platform or operating system that can run other software programs.

Examples of using Styled Content outside of a Website include but are not limited to producing merchandise, PDF documents, image files, or personalized physical objects using the Styled Content.
You may not use conversion or editing tools on the Licensed Web Fonts.
Use of the Licensed Web Fonts with technologies other than @font-face, such as sIFR, Cufón or Typeface.js, is not allowed.
3 – Intellectual and Industrial Property Rights
You agree that the Licensed Web Fonts are protected by the copyright law and other intellectual and industrial property rights of Switzerland and by international treaties. You agree to treat the Licensed Web Fonts as you would any other copyrighted material. You may not copy the Licensed Web Fonts, except as expressly provided herein. You agree not to adapt, modify, alter, translate, convert, or otherwise change the Licensed Web Fonts, or to create Derivative Works from the Licensed Web Fonts or any portion thereof. You further agree not to use the Licensed Web Fonts in connection with software and/or hardware which create Derivative Works of the Licensed Web Fonts. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or instructions of the Licensed Web Fonts, provided, however, that if you are located in a European Community member country or any other country which provides rights materially similar to the rights set forth in this provision, you may reverse engineer or decompile the Licensed Web Fonts only to the extent that sufficient information is not available for the purpose of creating an interoperable software program (but only for such purpose and only to the extent that sufficient information is not provided in a timely manner free of charge by QUADRAAT upon written request). You agree that QUADRAAT owns all right, title and interest in and to the Licensed Web Fonts, their structure, organization, code, and related files, including all intellectual and industrial property rights therein such as copyright, design and trademarks rights. You agree that the Licensed Web Fonts, their structure, organization, code, and related files are valuable property of QUADRAAT and that any intentional or negligent Use of the Licensed Web Fonts not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights.
You agree to use trademarks associated with the Licensed Web Fonts according to accepted trademark practice, including identification of the trademark owner’s name. The use of any trademark authorized herein does not give you any rights of ownership in that trademark and all use of any trademark shall inure to the sole benefit of QUADRAAT. You may not change any trademark or trade name designation for the Licensed Web Fonts.
4 – Warranty: Limitation of Liability
QUADRAAT warrants to you that the Licensed Web Fonts will perform substantially in accordance with W3C specifications for the use of fonts in conjunction with the ‘@font-face rule’ specified in the cascading style sheets (“CSS”) specification set forth on the http://www.W3.org website. If the Licensed Web Font(s) do not perform substantially in accordance with W3C specifications for the use of fonts in conjunction with the ‘@font-face rule’ specified in the cascading style sheets (“CSS”) specification set forth on the http://www.W3.org website as of the date you agree to be bound by this Agreement, the entire, exclusive, and cumulative liability and remedy shall be limited to the refund of the license fee you paid to QUADRAAT to obtain delivery of the Licensed Web Font(s).
5 – Transfer of the Licensed Web Fonts
You may not rent, lease, sublicense, give, lend, or further distribute the Licensed Web Font(s), or any copy thereof, except as expressly provided herein. You may transfer all its rights to use the Licensed Web Font(s) to another person or legal entity provided that (i) the transferee accepts and agrees to be bound by all the terms and conditions of this Agreement, and (ii) you destroy all copies of the Licensed Web Font(s), including all copies stored in the memory of a hardware device. If you are a business or organization, you agree that in case of a reasonable doubt with regard to the proper Use of the Licensed Web Font(s) within your organization, upon request from QUADRAAT or its authorized representative, you will, within thirty (30) days, fully document and certify that the Use of any and all Licensed Web Fonts licensed by you from QUADRAAT at the time of the request is in conformity with your valid licenses.
6 – Copies
You may make one back-up copy of the Licensed Web Font(s) for archival purposes only, and you shall retain exclusive custody and control over such copy. Any copies that you are expressly permitted to make pursuant to the Agreement must contain the same copyright, trademark, and other proprietary notices that appear on or in the Licensed Web Font(s). Upon termination of Agreement, you must destroy the original and any and all copies of the Licensed Web Font(s).
7 – Termination
Upon failure by you to comply with the terms of the Agreement, QUADRAAT shall be entitled to terminate the Agreement upon notice by regular mail, paid carrier, telefax or email/textform. The termination of the Agreement shall not preclude QUADRAAT from suing you for damages for any breach of the Agreement. The Agreement may only be modified in writing signed by an authorized officer of QUADRAAT.
8 – Other Terms and Conditions
In the event that any provision of this Agreement is unenforceable or invalid, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole, and, in such event, such unenforceable or invalid provision shall be changed and interpreted so as to best accomplish the objectives of such provision within the limits of applicable law or court decisions.
This Font Software for Mobile Applications and EPub End User License Agreement (the “Agreement”) becomes a binding contract between you and QUADRAAT when you click on the area marked “ACCEPT LICENSE AGREEMENT,” or similar language or when you accept the Agreement by other means (for instance referring to the Agreement in a purchase order, a confirmation email etc.). If you do not wish to be bound by the Agreement, you cannot access, use or download the Font Software. Please read this entire Agreement before agreeing to be bound. The Agreement contains capitalized terms that are defined in section «DEFINITIONS» of the Agreement. Each application and Electronic Publication using this typeface must have a valid license. If you bought a license for 5 App/EPub, you can for example use the typeface in 2 applications and 3 Electronic Publication.
1 – Binding Agreement
You are bound by the Agreement and you acknowledge that all use of the Font Software supplied to you by Foundry for the purposes set forth under this Agreement is governed by this Agreement.
2 – License Grant
You are hereby granted a non-exclusive, non-assignable, non-transferable license (subject to all of the terms and conditions of the Agreement) to (a) embed the Font Software (i) into an iOS, Android or Windows Phone Application, (ii) in a secure manner which does not allow an End User to access the Font Software outside of the Application: and (b) distribute worldwide (subject to the export restrictions set forth in Section 9 of the Terms and Conditions) such Application to End Users. Foundry reserves all rights not expressly granted to you in this Agreement.
You are hereby granted a non-exclusive, non-assignable, non-transferable license (subject to all of the terms and conditions of the Agreement) to (a) embed the Font Software (i) into an Electronic Publication, including an Electronic Publication that is a Commercial Product, (ii) in a secure manner which does not allow an End User to access to the Font Software outside of an Electronic Publication, and (b) distribute worldwide (subject to the export restrictions set forth in section 9 of the Terms and Conditions) such Electronic Publication to End Users. Foundry reserves all rights not expressly granted to you in this Agreement.
3 – Restrictions on Use
The maximum number of distinct Applications and Electronic Publication into which the Font Software may be embedded may not exceed the number you indicated at WWW.QUADRAAT.CH when licensing the Font Software.
You may not embed the Font Software (i) in any Application or EPub that allows the generation of output such as PDFs, word processing documents, spreadsheets, labeled photos, static images, scalable images, advertisements or other documents or data files, or (ii) in any Application that is a server component in a client/server architecture.
The Font Software may only be embedded in an Application or EPub where the Font Software does not represent a substantial component of, and does not represent the primary value or the functionality of the Application or EPub into which it will be embedded.
You agree that you will take no action which will have the direct or indirect effect of causing the Font Software to become Publicly Available Software or otherwise be subject to a Publicly Available Software agreement.
4 – Alterations to the Font Software
You may not alter the Font Software for the purpose of adding any functionality that such Font Software did not have when delivered to you by Foundry. If the Font Software contains embedding bits that indicate that the Font Software is only authorized for certain purposes, you may not change or alter the embedding bits.
5 – Transfer of the Font Software
You may not rent, lease, sublicense, give, lend, or further distribute the Font Software, or any copy thereof. If you are a business or organization, you agree that in case of a reasonable doubt with regard to the proper use of the Font Software within your organization, upon request from Foundry or its authorized representative, you will within thirty (30) days fully document and certify that use of any and all Font Software at the time of the request is in conformity with your valid licenses from Foundry.

You agree that the Font Software, its structure, organization, code, and related files are valuable property of Foundry or its third party licensors and that any intentional or negligent use of the Font Software not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights.
You agree not to adapt, modify, alter, translate, convert, or otherwise change the Font Software, or to create Derivative Works from the Font Software or any portion thereof. You further agree not to use the Font Software in connection with software and/or hardware which create Derivative Works of such Font Software.
You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or instructions of the Font Software, provided, however, that if you are located in a European Community member country or any other country which provides rights materially similar to the rights set forth in this provision, you may reverse engineer or decompile the Font Software only to the extent that sufficient information is not available for the purpose of creating an interoperable software program (but only for such purpose and only to the extent that sufficient information is not provided in a timely manner free of charge by Foundry upon written request.)
8 – Trademarks
You agree to use trademarks associated with the Font Software according to accepted trademark practice, including identification of the trademark owner’s name. Trademarks can only be used to identify printed output produced by the Font Software. The use of any trademark as herein authorized does not give you any rights of ownership in that trademark and all use of any trademark shall inure to the sole benefit of Foundry. You may not change any trademark or trade name designation for the Font Software. Nothing contained herein shall be deemed as granting you a license to use any trademark or trade names associated with the Font Software
9 – Termination
Upon failure by you to comply with the terms of this Agreement, Foundry shall be entitled to terminate this Agreement upon notice by regular mail, telefax or email. The termination of the Agreement shall not preclude Foundry from suing you for damages of any breach of the Agreement. The Agreement may only be modified in writing signed by an authorized officer of Foundry.
10 – Terms and Conditions
You have separately agreed to QUADRAAT’s standard Terms and Conditions which include provisions relating to governing law and jurisdiction, export restrictions and U.S. government contracts. In the case of a conflict between the Terms and Conditions and this Agreement, this Agreement shall control.
“Application(s)” means a separate and distinct stand-alone Software Product, which may be a Commercial Product, which runs on a platform and is made available by you to End Users or by you to a distributor who then makes such Application available to End Users.
“Commercial Product” means a product in which the Font Software has been embedded and which is offered for distribution to the general public (or to some subset of the general public) for a fee or other consideration or as a result of your business activity.
“Derivative Work” means binary data based upon or derived from Font Software (or any portion of the Font Software) in any form in which such binary data may be recast, transformed, or adapted including, but not limited to, binary data in any format into which Font Software may be converted.
“Distributions” means the number of units downloaded or installs of the Application that embeds the Font Software.
“End User(s)” means the individual or entity which downloads an Application to run on a platform designed to run such Application.
“Font Software” means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Foundry in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.
“Publicly Available Software” means each of: (a) any software that contains, or is derived in any manner (in whole 36.+or in part) from, any software that is distributed as free software, open source software (e.g. Linux) or similar licensing or distribution models: and (b) any software that requires as a condition of use, modification and/or distribution of such software that such software or other software incorporated into, derived from or distributed with such software (i) be disclosed or distributed in source code form, (ii) be licensed for the purpose of making derivative works, or (iii) be redistributable at no charge. Publicly Available Software includes, without limitation, software licensed or distributed under any of the following licenses or distribution models, or licenses or distribution models similar to any of the following: (1) GNU’s General Public License (GPL) or Lesser/Library GPL (LGPL): (2) the Artistic License (e.g., PERL): (3) the Mozilla Public License: (4) the Netscape Public License: (5) the Sun Community Source License (SCSL): (6) the Sun Industry Standard Source License (SISL): and (7) the Apache Software license.
“Software Product” means a product that is distributed as software only and is not (i) embedded into hardware of any kind, or (ii) a platform or operating system that can run other software programs.
